These Terms of Service ("Terms") govern your use of CertBase ("Service"), operated by CertBase ("we", "us"). By creating an account you agree to these Terms. If you are accepting on behalf of an organisation, you represent that you have authority to bind that organisation.

1. The Service

CertBase is a web-based PAT testing management platform. We provide tools for recording tests, managing assets, generating PDF certificates, and administering multi-site operations. Features available to you depend on your subscription plan.

2. Accounts

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately at hello@certbase.co.uk if you suspect unauthorised access.

3. Free trial

New organisations receive a 14-day free trial with access to all features of the Professional plan. No credit card is required to start a trial. At the end of the trial period, continued access requires selecting a paid plan. We reserve the right to modify or end the trial offering at any time.

4. Subscriptions and billing

Paid plans are billed monthly in advance. Current pricing:

Starter: £19.99/month
Professional: £29.99/month
Business: £49.99/month

All payments are processed by Stripe. By subscribing you authorise Stripe to charge your payment method on a recurring monthly basis. Prices are in GBP and inclusive of any applicable VAT.

Cancellation

You may cancel your subscription at any time via the billing portal in your account settings. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods.

Plan changes

You may upgrade or downgrade your plan at any time. Upgrades take effect immediately; the price difference is prorated on your next invoice. Downgrades take effect at the start of the next billing period.

Failed payments

If a payment fails, we will retry according to Stripe's dunning schedule. Access to the Service may be suspended if payment cannot be collected after reasonable attempts.

5. Seat limits

Seat limits apply to engineer accounts only. Admin and manager roles are included free on all plans. Exceeding your plan's seat limit requires upgrading to the next tier.

6. Acceptable use

You agree not to:

Use the Service for any unlawful purpose or in violation of any regulations
Attempt to gain unauthorised access to any part of the Service or its infrastructure
Transmit malware, spam, or any code designed to disrupt the Service
Scrape, copy, or redistribute content from the Service without permission
Use the Service to store or transmit material that is defamatory, obscene, or infringes third-party rights

7. Your data

You retain ownership of all data you input into the Service (test records, assets, certificates, customer data). You grant us a limited licence to store and process that data solely to provide the Service to you.

On account cancellation or closure, your data is retained for 30 days during which you may request an export. After 30 days it is deleted from our systems. See our Privacy Policy for full details.

8. Service availability

We aim for high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice where possible. The Service is provided "as is" without warranties of any kind to the extent permitted by law.

9. Intellectual property

CertBase and all associated marks, software, and content are owned by us or our licensors. Nothing in these Terms transfers any intellectual property rights to you beyond the limited right to use the Service as described here.

10. Limitation of liability

To the maximum extent permitted by applicable law, CertBase shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or business arising from your use of or inability to use the Service. Our total aggregate liability for any claim shall not exceed the fees you paid to us in the 12 months preceding the claim.

Nothing in these Terms limits our liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.

11. Termination

We may suspend or terminate your account immediately if you materially breach these Terms, fail to pay amounts due, or if we are required to do so by law. On termination, your right to use the Service ceases immediately. The provisions of Sections 7, 9, 10, and 12 survive termination.

12. Governing law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified by email at least 14 days before taking effect. Continued use of the Service after that date constitutes acceptance of the revised Terms.
